Syosset Camera Club

CONSTITUTION

Article I - Name
This organization shall be known as the Syosset Camera Club.

Article II - Aims
The aims of the Syosset Camera Club shall be the enjoyment, mastery, and furtherance of photography through cooperation, effort, and good fellowship.

Article III - Activity
The club shall conduct a full program of activity throughout the year. Regular meetings shall be held the second, third, and fourth Thursdays of every month or at any other or additional times voted at a duly constituted meeting of the Executive Board. Special meetings shall be determined by the club president with at least one weeks notice by mail to each member.

Article IV - Membership
Membership in the club shall be open to any person whose qualifications meet the requirements specified in Article I of the By-Laws.

Article V - Officers
The following shall be the officers of the club:

  • 1. President
  • 2. First Vice President
  • 3. Second Vice President
  • 4. Secretary
  • 5. Treasurer
  • The officers, the immediate past president, and the chairmen of standing club committees shall constitute the Executive Board.

    Article VI - Committees
    The following committees shall be established to conduct club activities and shall be conducted as provided in Article VI of the By-Laws:

  • 1. Program
  • 2. Membership
  • 3. Newspaper
  • 4. Field Trip
  • 5. Federation
  • 6. Competition
  • ... and special committees appointed by the president. The president shall appoint one chairman for each committee. Either the president or the Committee Chairman may add additional members at their own discretion.

    Article VII - Amendments
    Amendments to the Constitution may be introduced by at least 15 members in good standing or by action of the Executive Board provided;
    (1) prior written notice of the amendment is given to all members with a statement as to its endorsement, and such notice must be made at least two weeks prior to the date at which it is to be considered, and that;
    (2) the amendment is read at the regular meeting previous to that which action is taken upon it and that;
    (3) a quorum of members is good standing is present of which two-thirds vote in favor of said amendment.

    Article VIII
    None of the clubs funds nor its membership lists are to inure to the benefit of any member or members of the Syosset Camera Club without the permission of the Executive Board or the President.

    BY - LAWS

    Article I - Membership
    Any person interested in photography may apply for membership. Prospective members may secure membership applications from the Chairman of the Membership Committee. An application is complete when submitted with the membership fee. Membership of any person may be suspended when sufficient reason exists, by action of the Executive Board. The suspended person shall have the right to appeal suspension in which case the action of the Executive Board shall be upheld or rescinded by a majority vote of the entire membership.

    Membership shall be limited to 75 persons, i.e., family units. A spouse or a child of a club member in good standing shall always be eligible for membership even in excess of the number 75 provided they are otherwise eligible.

    Article II - Dues
    Dues shall be due at or prior to the first meeting in September and must be paid no later than September 30. Members in default of dues payment on September 30 shall not be eligible for the October competition. Persons not paying dues by October 31 will be dropped from the membership list. Annual dues shall be $45.00 for regular members over 20 years of age. A discounted dues for student members under the age of 20 shall be $15.00. Additional persons in a regular member's immediate family who have the same last name and address may belong to the club for a discounted dues of $5.00 each. Reduced dues will apply to new members joining after January 1.

    Article III - Finance
    Funds for investment for equipment and for any other purpose may be expended by the Executive Board in an amount not to exceed $300.00. In the event that the Executive Board approves an expenditure in excess of $300.00 the membership at the next regular meeting shall vote of said expenditure and approval shall be by majority vote.

    Article IV - Elections
    Elections of club officers shall be held annually. Nominations shall be made and accepted at any regular meeting in May. Written ballots shall then be prepared for any contested election by the secretary and distributed to the entire membership. The ballots will be cast at the first regular meeting in June. All officers shall be elected by plurality The Executive Board shall tabulate the votes and post or report the results at the first regular meeting in September at which time the officers shall be installed. When a candidate is opposed for office, his name shall be distributed on a ballot and when there is no contest the secretary shall be instructed to cast one ballot. No officer shall be elected to the same office for more than three years consecutively. Vacancy of the office of president shall be filled by the first vice-president. Vacancies in club offices shall be filled by appointment by the President.

    Article V - Duties of Officers
    Duties of the president shall be:
    (1) to preside at all club meetings and Executive Board meetings,
    (2) to appoint chairmen of all committees,
    (3) to act as club spokesman, and,
    (4) to administer the activities of the club.

    Duties of the first vice-president shall be:
    (1) to assume the duties of president in the absence of the president.

    Duties of second vice-president:
    (1) to assume the duties of the first vice-president in the absence of first vice- president.

    Duties of the secretary shall be:
    (1) to keep records of all Executive Board meetings,
    (2) to notify members of all meetings and special events,
    (3) to conduct correspondence for the club, and,
    (4) to prepare ballots for the elections.

    Duties of the treasurer are:
    (1) to maintain records and custody of the club finds,
    (2) to disburse the finds of the club and maintain records thereof,
    (3) to prepare a report of club finances at each Executive meeting and whenever requested to so by the Executive Board or the president.

    Article VI - Duties of Committees
    The activities for the club committees shall be determined by the Executive Board of the club. The activities decided upon shall be thereafter carried out by the chairman and members appointed by the chairman of respective committees. Committee chairmen shall prepare a report of activities and progress at each Executive Board meeting and whenever requested by the Executive Board or the president.

    Article VII - Business Meetings
    For the purpose of conducting business legally a quorum shall consist of 50% of the members present in good standing and two officers. The use of proxies in voting shall not be permitted.

    Article VIII - Executive Board Meetings
    Meetings shall be called by the president with at least one weeks notice by mail or at regular club meeting with two weeks minimum notice. Meetings shall be four times a year or at any other time deemed necessary by the president. For the purpose of transacting business a quorum shall consist of at least 50% of all members of the Board. The use of proxies shall not be permitted. No Executive Board action may be binding upon the club unless such a quorum is present. Lay members may attend all Board meetings, however only Board members may vote.

    Article IX - Amendments
    The By-Laws may be amended by a two thirds vote of the members.

    Article X - Robert's Rules
    The rules contained in Robert's Rules of Order shall govern the club in all cases to which they are applicable and in which they are not inconsistent with the constitution and By- Laws of this club.

    Article XI - Intention
    It is the purpose and intent of these By-Laws that the First and Second Vice Presidents be involved in operations, and to that end, it is expected that the various committees as appointed by the president, shall be so responsible to those officers.
